Deal Spotlight: Burnet, Duckworth & Palmer LLP - MEG Energy and Cenovus Energy Acquisition
28 September 2026
Burnet, Duckworth & Palmer LLP (BD&P), Alliott Global Alliance’s law firm representative in Alberta acted as lead counsel to MEG Energy Corp. in one of the most significant and closely contested energy transactions in recent Canadian history.
The transaction culminated in Cenovus Energy Inc.'s C$8.6 billion acquisition of MEG and was recognized as M&A Deal of the Year at the 2026 Canadian Law Awards. The firm advised MEG throughout a highly public six-month process that involved responding to an unsolicited hostile takeover bid from Strathcona Resources Ltd. while simultaneously negotiating a strategic transaction with Cenovus.
The matter required innovative legal structuring, extensive regulatory engagement, complex shareholder approval strategies, and real-time coordination among boards, management, financial advisors, proxy advisors, and communications teams. Despite significant challenges, the transaction succeeded in delivering enhanced value to shareholders while navigating unprecedented legal and strategic issues.
Why it matters for Canada: Canada's oil sands represent one of the world's largest hydrocarbon reserves and are a cornerstone of the country's economy. This transaction accelerated the consolidation of major oil sands producers, strengthening the competitiveness and scale of Canadian energy companies at a time of increasing global focus on energy security, operational efficiency, and capital discipline. The transaction also demonstrated the sophistication of Canada's public M&A market and highlighted how boards and management teams are using innovative approaches to respond to activist pressures and hostile acquisition attempts.
The transaction illustrates the type of work BD&P is known for: advising boards and management teams through high-stakes situations where legal strategy, shareholder considerations and market dynamics are closely intertwined.
BD&P advises on many of Canada's most significant energy transactions, helping clients navigate complex M&A, financing, regulatory and cross-border matters.
